Terms of Service

These Terms of Service ("Terms") govern your use of the SiteSync platform ("Service"), operated by SiteSync ("we", "us", "our"). By subscribing to or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity (a "Customer"), you represent that you have authority to bind that entity.

The Service is a construction workforce management platform for Gulf contractors, including WPS payroll processing, workforce planning, productivity tracking, visa and mobilization management, and project operations modules.

1. Accounts and access

• You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for all activity under your account.
• We grant you a non-exclusive, non-transferable right to use the Service during your subscription term, subject to these Terms and the applicable plan limits (including number of workers and modules).
• You may not resell, sublicense, or provide the Service to third parties as a service bureau or outsourcing offering.

2. Customer data

• You retain all rights in the data you upload, including worker personal data, payroll records, and site records ("Customer Data"). We process Customer Data only to provide the Service, as described in ourPrivacy Policy andData Processing Agreement.
• You are responsible for ensuring that you have the legal basis to process worker personal data in the Service, and for obtaining any required consents from workers. Where workers access the self-service portal, you must inform them of the processing.

3. Fees and payment

• Fees are billed monthly or annually as set out in your order. Unless otherwise agreed, plans are billed per active worker and per chosen modules, exclusive of VAT (currently 5% in the UAE).
• Fees are payable in advance and are non-refundable except as set out in our Refund Policy.
• We may change pricing for renewals by giving you at least 30 days' notice before the renewal date.

4. Acceptable use

You must comply with our Acceptable Use Policy. You may not use the Service to violate any law, including UAE labour law, WPS (Wage Protection System) regulations, and applicable data protection law.

5. Service level and availability

We provide the Service with the availability commitments set out in ourService Level Agreement. Our liability for availability failures is limited as described in that SLA.

6. Intellectual property

• The Service, including its software, design, documentation and branding, is owned by SiteSync or its licensors. You receive no rights except those expressly granted in these Terms.
• You may provide feedback, which we may use without restriction.

7. Confidentiality

Each party will protect the other's Confidential Information (including Customer Data and non-public business information) using reasonable care, and will only use it to perform its obligations. This obligation survives termination.

8. Warranties and disclaimer

• We warrant that the Service will operate materially in accordance with its documentation, and that we will process Customer Data in accordance with applicable law.
• To the maximum extent permitted by law, the Service is provided "as is" and we make no other warranties, express or implied, including fitness for a particular purpose. The Service does not constitute legal advice; you remain responsible for compliance with WPS, MoHRE and other regulatory requirements.

9. Limitation of liability

• To the maximum extent permitted by law, aggregate liability of either party arising out of these Terms will not exceed the fees paid or payable by you in the 12 months preceding the claim.
• Neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.

10. Termination

• Either party may terminate for material breach if the breach is not cured within 30 days of written notice.
• On termination, you may export your Customer Data during a 30-day transition period, after which we will delete it in accordance with ourPrivacy Policy.

11. Governing law

These Terms are governed by the laws of the United Arab Emirates. The courts of Dubai shall have exclusive jurisdiction, subject to any mandatory consumer-protection provisions.
